Subscription Terms

These Subscription Terms govern paid subscriptions to ParetoOps Pro and Enterprise and Trials. They form part of each Order and supplement the ParetoOps End-User License Agreement (the “EULA”) at https://paretoops.dev/legal/eula. Capitalized terms not defined here have the meanings given in the EULA.
1. Plans and Licensed Scope
1.1 Pro is licensed per organization. For use in GitHub Actions, the License Key is bound to the GitHub organizations or accounts listed in your Order. Pro includes the Licensed Features listed for Pro in the Documentation at the time of your Order.
1.2 Enterprise is licensed as stated in your Order, which may cover multiple organizations, air-gapped or self-hosted environments, additional features (such as the signed pricing-catalog feed and self-hosted GPU cost modeling) and enhanced support.
1.3 Seats. Where an Order states a number of seats, a seat is one named individual who configures, runs or maintains the Software; automated CI jobs do not consume seats.
2. Orders and term
2.1 Orders. A subscription starts when we accept your Order and issue a License Key. Each Order states the plan, Licensed Scope, Subscription Term and fees.
2.2 Renewal. Unless the Order says otherwise, a subscription renews automatically for successive terms equal to the initial term (or 12 months if the initial term was longer) unless either party gives notice of non-renewal at least 30 days before the end of the current term. We will tell you about any price increase at least 45 days before the renewal it applies to.
2.3 Trials. We may offer a Trial for up to 30 days, or longer if we agree in writing. A Trial ends automatically; it does not convert to a paid subscription unless you place an Order.
3. Fees, invoicing and taxes
3.1 Fees. You will pay the fees in your Order. Unless the Order says otherwise, fees are invoiced annually in advance in U.S. dollars and are due within 30 days of the invoice date.
3.2 Resellers. If you buy through a reseller or a merchant of record (for example, an online checkout operated by a payment provider on our behalf), the reseller’s terms govern payment, taxes and refunds for that purchase, and these Subscription Terms govern everything else.
3.3 Late payment. If an undisputed amount is more than 30 days overdue, we may, after giving at least 10 days’ written notice, suspend Licensed Features until it is paid. The Free Tier is not affected.
3.4 Taxes. Fees exclude taxes. You are responsible for all sales, use, value-added, goods and services, withholding and similar taxes, other than taxes on our net income. If you are required to withhold tax, you will gross up the payment so that we receive the full amount invoiced.
3.5 Refunds. Fees are non-refundable except (a) as stated in Sections 12.1 and 14.1 of the EULA, (b) if you terminate an Order for our uncured material breach, in which case we refund the prepaid fees for the remainder of the Subscription Term, or (c) as required by law.
4. License Keys during the term
4.1 Expiry and grace period. License Keys carry an expiry date. To avoid interrupting your pipelines, the Software keeps Licensed Features working for 14 days after a key expires and displays a renewal warning; after that, the Software falls back to the Free Tier. The grace period is a convenience and does not extend your Subscription Term.
4.2 Replacement keys. We will issue replacement keys for renewals, changes in Licensed Scope or exposed keys. You will stop using superseded keys.
5. Support
5.1 Channels. Support is provided by email at [email protected] in English, on business days (Monday to Friday, excluding U.S. federal holidays).
5.2 Response targets. We aim to respond to support requests within two business days for Pro and one business day for Enterprise, or as stated in an Enterprise Order. Response targets are goals, not guarantees, unless an Order states a service-level commitment with remedies.
5.3 Scope. Support covers installation, configuration and defects in the current and previous minor release of the Software. It does not cover your evaluation suites, models, CI infrastructure or third-party services.
5.4 Version support. We support each minor release for at least 12 months after the next minor release, and we will announce the end of support for a release at least 90 days in advance.
6. Security
We develop and build the Software following the practices described in our Security and Data Handling overview at https://paretoops.dev/legal/security. We will tell you without undue delay about any security vulnerability in the Software that we confirm is likely to affect your use of it, together with available mitigations.
7. Publicity
We will not use your name or logo in marketing without your prior written consent. You may withdraw consent at any time for future use.
8. Changes
We may update these Subscription Terms by publishing a new version at https://paretoops.dev/legal/subscription-terms. Changes apply from your next renewal, unless they are required by law or you agree to them earlier.
